Terms of Service

These Terms of Service govern your access to and use of the Northpine Learning website and our online courses, programs, and live webinars. Please read them carefully.

1. Acceptance of terms

By accessing or using this website (the ā€œSiteā€), you agree to be bound by these Terms of Service (the ā€œTermsā€). If you do not agree, do not use the Site.

You must be at least 16 years old to use the Site. If you are under 18, you represent that you have permission from a parent or legal guardian to use the Site and to enroll in programs.

These Terms apply to all visitors, users, and others who access the Site, including users who browse content, register for webinars, purchase courses, or contact admissions.

2. Description of services

Northpine Learning Ltd. provides online education offerings, including cohort-based online courses, educational programs, and live webinars. Topics may include AI workflows, programming fundamentals, digital skills, and language learning.

Services may include live instruction, learning materials, assignments, optional Q&A, and guidance on practice. Some sessions may be led by guest experts participating as invited specialists.

Program availability, schedules, session lengths, prerequisites, and pricing are described on the relevant pages of the Site. All prices displayed are in Canadian dollars (CAD) unless stated otherwise.

3. User obligations

You agree to use the Site and any related course materials only for lawful purposes and in a way that does not infringe the rights of others or restrict their use and enjoyment of the Site.

You must not
  • Scrape, crawl, or harvest content or personal data from the Site using automated means without written permission.
  • Attempt to gain unauthorized access to any part of the Site, accounts, servers, or networks.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Upload or transmit malware, or use the Site to distribute harmful code.
  • Use the Site to engage in illegal activity, harassment, or content that violates applicable Canadian laws.

You are responsible for ensuring that the information you provide to us (for example, via contact or registration forms) is accurate and up to date.

4. Intellectual property

The Site, its content, and all related materials, including text, graphics, logos, course outlines, slides, recordings (when available), and downloadable resources, are owned by Northpine Learning Ltd. or licensed to us and are protected by Canadian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and materials for your personal, non-commercial educational use. You may not copy, reproduce, distribute, publicly display, sell, sublicense, or create derivative works from our content without prior written permission.

5. Disclaimers

The Site and all services and materials are provided on an ā€œas isā€ and ā€œas availableā€ basis. To the fullest extent permitted by applicable law, Northpine Learning Ltd. disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of liability

To the fullest extent permitted by applicable law, Northpine Learning Ltd. and its directors, officers, employees, contractors, and instructors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Site or services.

To the extent that any liability cannot be excluded, our total direct liability to you for any claim arising out of or relating to the Site or services will not exceed the amount you paid to Northpine Learning Ltd. for the relevant course, program, or webinar giving rise to the claim (if any) in the 12 months immediately preceding the event.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

7. Indemnification

You agree to indemnify and hold harmless Northpine Learning Ltd. and its directors, officers, employees, contractors, and instructors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

  • Your access to or use of the Site or services
  • Your violation of these Terms
  • Your infringement of any intellectual property or other right of any person or entity

8. Third-party links

The Site may contain links to third-party websites or services. Third-party links are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or availability of third-party sites.

Accessing third-party sites is at your own risk, and you should review their terms and policies.

9. Privacy

10. Governing law & jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the courts located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction of such courts.

11. Dispute resolution

If you have a concern or dispute, you agree to first contact us and attempt to resolve the matter informally. Please email [email protected] with a description of the issue and relevant details.

If we cannot resolve the dispute within 30 days after receiving your notice, either party may pursue resolution through the courts specified in the Governing Law and Jurisdiction section. We do not require binding arbitration as a condition of using the Site.

12. Termination

We may suspend or terminate your access to the Site or services at any time if we reasonably believe you have violated these Terms, used the Site unlawfully, or engaged in activity that could harm other users, instructors, or the integrity of the Site.

Termination does not affect any rights or obligations that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

13. Changes to terms

We may update these Terms from time to time to reflect changes to the Site, services, or legal requirements. When we make material changes, we will provide notice on the Site at least 14 days before the updated Terms take effect.

Your continued use of the Site after the effective date of updated Terms constitutes acceptance of the updated Terms.
